Agreement to Terms

These Terms of Service (“Terms”) govern your use of the NNSFlow negative news screening service (“Service”) operated by PentaLab SRL (“we”, “us”, or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

Service Description

NNSFlow is a negative news screening tool that helps compliance teams review publicly available information about individuals and companies. The Service:

• Retrieves publicly available web content based on your search parameters
• Extracts and displays text content for your review
• Stores evidence snapshots of reviewed sources
• Creates audit logs of screening decisions
• Provides export functionality for documentation

Account Terms

• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• You must be at least 18 years old to use the Service
• One person or legal entity may maintain no more than one free account

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any purpose other than legitimate compliance due diligence
• Use the Service to harass, stalk, or harm individuals
• Use the Service for purposes of discrimination or harassment
• Attempt to circumvent usage limits or security measures
• Resell, sublicense, or redistribute access to the Service
• Use automated systems to access the Service in a manner that exceeds reasonable use
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any portion of the Service

Payment Terms

For paid plans:

• Fees are billed in advance on a monthly or annual basis
• All fees are in Swiss Francs (CHF) unless otherwise stated
• Fees are non-refundable except as required by law
• You are responsible for all applicable taxes
• We may change pricing with 30 days notice
• Failure to pay may result in suspension or termination of access

Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

You acknowledge that evidence snapshots and audit logs are retained for regulatory compliance purposes and cannot be deleted before the retention period expires (10 years from decision date).

Intellectual Property

The Service, including its original content, features, and functionality, is owned by PentaLab SRL and is protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of data you input into the Service. You grant us a limited license to use this data solely for the purpose of providing the Service.

Limitation of Liability

Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not warrant the accuracy, completeness, or reliability of any information obtained through the Service.

Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms.

Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Note: Evidence snapshots and audit logs for completed screenings will be retained for the regulatory retention period regardless of account termination.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Brussels, Belgium.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
